The initial sync can take some time depending on connection speed and the size of your sync profile. If you are still having trouble see https://philikon.wordpress.com/2011/06/13/how-to-file-a-good-sync-bug/

Thanks kbrosnan; I had my phone connected to my PC for a little over 16 hrs, I would think that should be long a nuf to do a sync.

Firefox Sync doesn't sync directly from one device to another, it works thru the Sync Server over the internet. You first need to "sync" the primary device with the Sync Server, and then "sync" the secondary device with the data on the server.
