I'm sorry but I guess i'm not computer literate enough to know what you mean. The favorites file consists of folders I have created to store countless web sites along with many un sorted individual sites ?

Doesn't sound like that is an HTML file, but rather a folder of favorites sitting in Windows. Sorry, Firefox can't that data in that format.

Try this:

In IE:
File > Import/Export - Export to HTML file

then in Firefox:
Bookmarks > Show All Bookmarks -> Import & Backup - Import HTML... = From HTML file - using the HTML file that you just exported from IE
