Difference between Waterfox 9.0 64bit and Firefox 12 "nightly" 64bit

Waterfox 9 uses the Firefox 9 code and that is the current release meant for normal users.
The Firefox 12 Nightly build has the latest patches the testers can use to test code that will be added to future Firefox versions.
Such code can be buggy (sometimes very buggy) and is not meant for normal usage.
You also receive updates each day and sometimes more than one update per day because the code is too buggy and a respin is required.
If you are not an experienced tester the you should stay away from all test build and stay with the current release.
